Terms of business

These Terms of Business outline the principles, expectations, and working practices that guide all services delivered by Starlit People.

They ensure clarity, transparency, and mutual understanding between Starlit People and its clients.

These terms apply to all HR, Health & Safety, and wellbeing services unless otherwise agreed in writing.

1. Scope of Services

Starlit People provides HR consultancy, Health & Safety support, wellbeing services, training, and project-based work. The scope of each engagement will be confirmed in writing through:

  • A proposal

  • A service agreement

  • A statement of work

  • Or written confirmation via email

Any additional work outside the agreed scope will be discussed and approved before commencement.

2. Fees & Payment Terms

2.1 Fee Structure Fees may be charged as:

  • Hourly or daily rates

  • Project-based fees

  • Retainer or subscription packages

  • Template purchases

All fees will be confirmed in writing before work begins.

2.2 Invoicing & Payment

Invoices are issued at agreed intervals or upon completion of work.

Payment terms are 14 days from the invoice date unless otherwise agreed.

Late payments may incur interest in line with the Late Payment of Commercial Debts (Interest) Act 1998.

2.3 Expenses Any pre-approved expenses (e.g., travel, accommodation, specialist materials) will be invoiced at cost.

3. Client Responsibilities Clients agree to:

  • Provide accurate and timely information

  • Ensure access to relevant documents, systems, or personnel

  • Communicate any changes that may affect the work

  • Maintain responsibility for all final decisions relating to HR, H&S, and wellbeing matters. Starlit People provides guidance and recommendations, but legal responsibility for organisational decisions remains with the client.

4. Confidentiality

Starlit People treats all client information as strictly confidential.

This includes:

  • Employee data

  • Internal documents

  • Operational information

  • Sensitive HR or H&S matters

Information will not be shared with third parties unless:

  • Required by law

  • Explicitly authorised by the client

  • Necessary for agreed service delivery

Confidentiality continues beyond the end of the engagement.

5. Data Protection

Starlit People complies with UK GDPR and the Data Protection Act 2018. All client data is:

  • Stored securely in encrypted cloud systems

  • Accessed only by Lisa Mason (or future employees whose roles require it)

  • Used solely for the purpose of delivering agreed services

6. Professional Standards

Starlit People commits to:

  • Acting with integrity, professionalism, and impartiality

  • Providing accurate, up-to-date advice based on current legislation and best practice

  • Delivering services with care, diligence, and respect

Clients are encouraged to raise any concerns promptly so they can be resolved quickly and constructively.

7. Limitation of Liability

Starlit People will deliver services to a high professional standard; however:

  • Advice is based on the information provided by the client

  • Starlit People cannot be held liable for decisions made or actions taken by the client

  • Liability for any claim is limited to the total fees paid for the specific engagement This does not exclude liability where it cannot be limited by law.

8. Termination of Services

Either party may terminate the agreement with written notice. Upon termination:

  • All completed work up to the termination date will be invoiced

  • Any outstanding payments remain due

  • Confidentiality obligations continue indefinitely

Starlit People may terminate services immediately if unethical, unsafe, or unlawful practices are identified.

9. Intellectual Property

All templates, materials, and documents created by Starlit People remain the intellectual property of Starlit People unless explicitly transferred in writing. Clients purchasing templates receive a licence to use them within their organisation. Templates must not be resold, shared externally, or reproduced for commercial use without permission.

10. Variations

Any changes to these Terms of Business must be agreed in writing by both parties.

11. Governing Law

These Terms of Business are governed by the laws of England and Wales. Any disputes will be handled through constructive dialogue in the first instance, followed by formal processes if required.
